These Terms govern your access to and use of AR Inbox
(the "Service") at wa.appringer.co.in.
By signing up for a merchant account, connecting a WhatsApp Business
Account, or sending a message through the Service, you ("Customer")
agree to these Terms. If you do not agree, do not use the Service.
1. The Service
AR Inbox is a team-inbox SaaS that integrates with the Meta WhatsApp Cloud API. We give you a multi-user web console plus an API to send, receive, and route WhatsApp messages between your business and your customers. The Service is sold on a prepaid wallet model: outbound messages are metered and debited per send.
2. Account & eligibility
- You must be at least 18 years old and authorised to bind the business you sign up on behalf of.
- You are responsible for maintaining the confidentiality of your password, API tokens, and Embedded Signup tokens.
- You agree to provide accurate information at signup and to keep it current.
- One merchant account = one business. Operating multiple unrelated businesses out of a single merchant is prohibited.
3. Acceptable use
You agree NOT to use the Service to:
- Send unsolicited bulk messages ("spam") or messages that violate Meta's WhatsApp Business Policy or Commerce Policy.
- Distribute malware, phishing links, or fraudulent content.
- Impersonate another person, business, or government entity.
- Engage in any activity that violates applicable export-control, sanctions, or anti-money-laundering laws.
- Reverse-engineer, scrape, or attempt to extract source code from the Service.
- Circumvent rate limits, merchant isolation, or any technical access controls.
- Resell or sublicense the Service to other businesses without a written reseller agreement with us.
We may suspend or terminate accounts that violate the WhatsApp Business Policy, the WhatsApp Commerce Policy, or these Terms, with or without prior notice depending on severity.
4. WhatsApp Business Platform compliance
Use of the Service requires you to maintain a valid WhatsApp Business Account ("WABA") and a Meta Business Account in good standing. You are responsible for:
- Maintaining WhatsApp template approvals required for your messaging.
- Honouring opt-outs from your customers within 24 hours.
- Sending only the message categories (utility, marketing, authentication, service) appropriate to your customer's last interaction.
- Complying with all Meta-imposed quality, throughput, and content rules.
Meta may suspend or rate-limit your WABA independently of us. We have no control over Meta's enforcement decisions.
5. Pricing & payments
The Service is sold on a two-component model. Both are charged in INR and are exclusive of GST and any other applicable indirect taxes, which will be added to your invoice where required by law.
5.1 Annual platform fee
Each merchant subscribes to one of the following bundles for a one-year term, billed in advance. Every plan includes up to 30 named users (admins, agents, or viewers). Additional users beyond 30 require a written upgrade addendum. No per-seat charges, no setup or onboarding fees.
- APIs only — ₹10,000 / year. Programmatic WhatsApp Cloud API access via our REST endpoints, inbound webhook delivery, and personal-access tokens. No inbox UI, no project tracker.
- Inbox + Webhook — ₹20,000 / year. Everything in APIs only, plus the hosted multi-user team inbox UI and CRM iframe embed.
- Inbox + Webhook + AR Tracking — ₹30,000 / year. Everything above, plus the AR Tracking project-management module (projects, lists, tickets, subtasks, comments, attachments, stats).
- AR Tracking only — ₹10,000 / year. The project tracker without the WhatsApp pipe, for teams that want only the project-management module.
Plan changes mid-term are pro-rated against the remaining term on a best-effort basis. Annual fees are non-refundable except where required by law.
5.2 Pay-as-you-send WhatsApp rates
Plans that include the WhatsApp pipe (APIs only, Inbox + Webhook, Inbox + Webhook + AR Tracking) additionally meter outbound WhatsApp traffic against a prepaid wallet. The AR Tracking only plan does not incur per-message charges.
- Each outbound message debits your wallet at the per-message rate published on your billing settings page. Rates are split across Meta's four conversation categories — session, utility, marketing, authentication — and are visible at all times in the merchant dashboard.
- Recharges are non-refundable except where required by law.
- If your wallet balance is insufficient at send time, the message is rejected (HTTP 402) before it leaves the Service. No partial sends occur.
- If a send hard-fails at the Meta API after debit, the wallet is automatically credited back via an atomic refund ledger entry.
- Wallet ledger entries are immutable and retained for the period required by applicable tax law.
- Per-message rates and annual plan prices are subject to change with 30 days' notice via email to the merchant's billing contact. Pricing changes apply to renewals and new sends; messages already debited are unaffected.
6. Data ownership
You own the messages, contacts, and conversations you generate through the Service. We make no claim of ownership over your content. We process it solely to operate the Service on your behalf, as described in our Privacy Policy.
7. Service availability
We target 99.5% monthly uptime excluding scheduled maintenance and force-majeure events. The Service depends on the Meta WhatsApp Cloud API, which has its own uptime characteristics outside our control. We do not offer financial SLAs at this time; consult your account manager if you require one.
8. Suspension & termination
- You may terminate your merchant account at any time from the dashboard. Upon termination your data is retained for 30 days then deleted (see the data deletion page).
- We may suspend or terminate your account immediately for breach of these Terms, violation of WhatsApp policies, non-payment, or legal/regulatory requirement.
- Upon termination, your outstanding wallet balance is forfeited unless required to be refunded by applicable consumer-protection law.
9. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that Meta will deliver every message you queue.
10. Limitation of liability
To the maximum extent permitted by law, our aggregate liability to you for any claim arising out of or relating to the Service is capped at the total amount you paid us in the 12 months preceding the event giving rise to the claim. In no event will either party be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.
11. Indemnification
You agree to defend, indemnify, and hold us harmless from claims arising out of (a) your use of the Service, (b) your violation of these Terms or applicable law, (c) the content of messages you send, or (d) infringement of third-party rights by content you upload or send.
12. Governing law
These Terms are governed by the laws of India, without regard to its conflict-of-laws provisions. Any dispute not resolved informally within 60 days will be submitted to the exclusive jurisdiction of the courts of New Delhi, India.
13. Changes
We may update these Terms from time to time. Material changes will be communicated via email to your merchant's billing contact with at least 14 days' notice before they take effect.
